Adora Terms & Conditions

1. Introduction

Adora is a digital loyalty and customer rewards platform designed to help vendors offer SMS-based loyalty rewards without the need for cards, apps, or hardware. These Terms & Conditions ("Terms") govern your access to and use of the Adora platform ("Platform"), operated by [Adora Company – pending registration], referred to as "we," "us," or "our."

By using Adora, you ("Vendor" or "Customer") agree to be bound by these Terms.


2. Eligibility & Registration

  • Vendors and customers must provide accurate information during sign-up.
  • All accounts are verified via SMS and/or OTP (One-Time Password).
  • Adora reserves the right to reject or suspend access to any user for suspected misuse or policy violations.

3. Vendor Wallets & Payments

  • Vendors maintain a pre-funded wallet on the Platform.
  • A fixed 1% transaction fee is deducted from the vendor wallet for each reward claim.
  • Vendors will be notified automatically when wallet balances fall below the required minimum.
  • Failure to top up the wallet may lead to paused or denied transactions.

4. Rewards and Loyalty Points

  • Loyalty rewards issued via Adora are denominated in Ghanaian Cedis (GHS) but are not legal tender or a stored-value currency.
  • Rewards are tied to customer mobile numbers and redeemable only at participating vendors.
  • Vendors determine the reward percentage per transaction.
  • Loyalty rewards expire within a vendor-set timeframe, not exceeding 12 months from the issue date.
  • Customers will receive reminder SMS messages before expiry.

5. Refunds & Downward Adjustments

  • Vendors may initiate downward adjustments (partial or full) for returns or errors.
  • All adjustments are logged and customers are notified immediately.
  • Adora does not process monetary refunds.

6. Customer Account Rules

  • Customers must register using a valid mobile number.
  • Customers attempting 5 or more invalid claims within a 5-day period may be temporarily blocked.
  • For reward redemptions exceeding GHS 2,000, OTP verification is required.

7. Security Measures

  • All login and transaction approvals are secured with OTP.
  • Vendors are responsible for internal fraud controls among their staff.
  • Adora is not liable for fraudulent or unauthorized internal use.

8. Use Restrictions

  • Users may not impersonate others, commit fraud, or extract data.
  • Reverse engineering or replicating the platform in part or whole is prohibited.

9. Termination & Suspension

  • Vendors or customers may cancel their accounts at any time.
  • Adora reserves the right to suspend or terminate accounts for misuse, suspected fraud, or non-payment.
  • Data will be retained for a minimum of 12 months post-termination unless otherwise requested.

10. Intellectual Property

All content, tools, and processes within Adora are the intellectual property of Adora and may not be copied or reproduced.


11. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Ghana.
Any legal disputes shall be resolved within the jurisdiction of the courts of Ghana.


12. Liability Disclaimer

  • Adora provides the Platform "as is."
  • We do not guarantee uninterrupted service and shall not be liable for lost sales, expired points, or technical downtime.
  • We are not liable for fraudulent transactions, customer/vendor errors, or missed communications.

13. Modifications

We may modify these Terms at any time. Users will be notified in advance of any significant changes.
Continued use of the Platform after changes are made constitutes acceptance of the new Terms.
